This Partnership Agreement ("Agreement") outlines the terms and conditions governing the partnership between Rentaka Trading & Services Sdn Bhd (Company No. 1540722-T), hereinafter referred to as "RentakaBiz", and its business partners.
Scope of Partnership
This agreement covers the following areas of collaboration:
- Referral of clients for CIDB services (Kad Hijau, Lesen Kontraktor)
- Co-marketing and promotional activities
- Joint service delivery for construction industry compliance
- ISO certification referral and co-consultation
- Logistics and vehicle shipping referral services
Partner Responsibilities
Partners agree to:
- Represent RentakaBiz services accurately and professionally
- Provide accurate client information for service processing
- Maintain confidentiality of all shared business information
- Comply with all applicable laws and regulations in Malaysia
- Not engage in activities that may damage RentakaBiz's reputation
RentakaBiz Responsibilities
RentakaBiz agrees to:
- Process all referred clients with the same quality and professionalism
- Provide partners with up-to-date pricing and service information
- Pay agreed commissions or referral fees in a timely manner
- Provide training and support materials as needed
- Maintain high service standards for all partner-referred clients
Commission and Payment
Commission rates and payment terms shall be agreed upon separately between RentakaBiz and each partner. Key terms include:
- Commission rates are subject to the specific service type and volume
- Payment will be processed within 14 days of service completion
- Partners will receive a statement of account monthly
- Disputes regarding commission must be raised within 30 days
Intellectual Property
All trademarks, logos, and branding materials of RentakaBiz remain the exclusive property of Rentaka Trading & Services Sdn Bhd. Partners may use these materials only with prior written approval and in accordance with brand guidelines.
Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Client information and personal data
- Business strategies and pricing structures
- Financial information and commission arrangements
- Internal processes and procedures
Term and Termination
This agreement is valid for a period of one (1) year from the date of execution and will automatically renew unless either party provides 30 days written notice of termination.
Either party may terminate the agreement immediately if the other party:
- Breaches any material term of this agreement
- Becomes insolvent or enters into liquidation
- Engages in conduct that damages the other party's reputation
Limitation of Liability
Neither party shall be liable for indirect, consequential, or punitive damages. Total liability under this agreement shall not exceed the total commission paid in the preceding 12 months.
Governing Law
This agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes shall be resolved through mediation before resorting to litigation in the courts of Malaysia.
